Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and TellDo ("we," "our," "us") governing your use of the TellDo mobile applications, website, and cloud services (collectively, the "Service"). These Terms include the End User License Agreement (EULA) for our mobile applications.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

TellDo is a voice-first planning application that:

Records and transcribes voice notes using speech-to-text technology.
Uses artificial intelligence to extract tasks, calendar events, reminders, and structured notes from your transcriptions.
Syncs created items to third-party productivity apps (Todoist, Things, Apple Calendar, Reminders).
Generates periodic AI-powered productivity reports.
Provides offline recording with automatic cloud sync.

The Service includes iOS, Android, and macOS applications and a cloud backend at api.telldo.app.

2. End User License Agreement (EULA)

2.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the TellDo application on devices you own or control, solely for your personal, non-commercial use.

2.2 License Restrictions

You may not:

Copy, modify, distribute, sell, or lease any part of the application.
Reverse engineer, decompile, or disassemble the application.
Remove, alter, or obscure any proprietary notices.
Use the application for any illegal or unauthorized purpose.
Sublicense or transfer the license to any third party.

2.3 Updates

We may release updates to the application from time to time. Some updates may be required for continued use of the Service. You agree that we may automatically update the application on your device.

2.4 Open Source Components

The application may include open source software components, each governed by its respective license.

3. Account Registration

You must provide a valid email address and create a password to register.
You must be at least 16 years old to create an account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account.
We reserve the right to refuse registration or terminate accounts at our discretion.

4. Subscription Plans and Billing

4.1 Plans

The Service offers Free, Basic, Pro, and Ultra subscription tiers with varying features and usage limits. Current plan details and pricing are available at telldo.app and within the app.

4.2 In-App Purchases

Paid subscriptions are purchased as in-app purchases through the Apple App Store or Google Play Store ("Stores"). All billing, payment processing, and refunds are handled by the respective Store.

4.3 Free Trials

Some paid plans offer free trial periods. If you do not cancel before the trial ends, you will be automatically charged the subscription fee. Trial availability and duration are specified at the time of signup.

4.4 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel. You can manage or cancel your subscription through your device's Store settings at any time.

4.5 Cancellation

You can cancel your subscription at any time through the App Store or Google Play settings.
Cancellation takes effect at the end of the current billing period — you retain access to paid features until then.
Upon expiration, your account reverts to the Free plan. Your data is preserved, but features beyond the Free plan become unavailable.

4.6 Refunds

Refunds are handled according to the policies of the Apple App Store or Google Play Store. We do not process payments directly and cannot issue refunds outside of the Stores.

4.7 Price Changes

We may change subscription pricing at any time. Existing subscribers will be notified in advance and given the option to cancel before new pricing takes effect.

5. Usage Limits and Quotas

Each subscription plan includes specific usage limits (notes per month, uploads per day, recording duration, storage capacity, STT minutes). Current limits are displayed in the app under Settings > Usage.

Exceeding limits will result in restricted functionality (e.g., upload rejections, reduced features) — not charges.
Limits reset according to your billing cycle and timezone.
Attempting to circumvent usage limits through technical means is prohibited.

6. Content Ownership and License

6.1 Your Content

You retain full ownership of all content you create through the Service, including audio recordings, notes, tasks, events, and any other user-generated content. We do not claim any intellectual property rights over your content.

6.2 License to Us

You grant us a limited, non-exclusive, worldwide license to process, store, transmit, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account.

6.3 AI-Generated Content

Content generated by our AI (summaries, task titles, event details, reports, tags, profile insights) is derived from your input and is considered your content. However, AI outputs may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and verifying AI-generated content before acting on it.

7. AI Processing and Disclaimers

Your audio and text content is processed by third-party AI services (OpenAI, Anthropic, Soniox) to provide transcription, analysis, and reports.
We do not use your data to train AI models. Our third-party providers are contractually prohibited from using your data for training.
AI analysis may produce inaccurate results — incorrect dates, wrong task interpretations, or missed items. The Service is an assistant, not a replacement for human judgment.
You should not rely solely on AI-generated content for critical decisions, appointments, or deadlines without verification.

8. Third-Party Integrations

The Service can connect to third-party apps (Todoist, Things, Apple Calendar, Apple Reminders). When you enable an integration:

You authorize us to send and receive data with that service on your behalf.
You are bound by that service's own terms and privacy policy.
We are not responsible for the availability, accuracy, or security of third-party services.
You can disconnect integrations at any time through the app settings.

9. Acceptable Use

You agree not to:

Use the Service for any illegal, harmful, or fraudulent purpose.
Record audio of other people without their knowledge and consent.
Upload content that is illegal, defamatory, threatening, or infringes on third-party rights.
Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
Interfere with or disrupt the Service or its servers.
Use automated scripts, bots, or scraping tools to access the Service.
Circumvent usage limits, security measures, or access controls.
Resell, redistribute, or commercially exploit any part of the Service.
Impersonate another person or misrepresent your affiliation.

10. Intellectual Property

The Service, including its design, code, branding, documentation, and AI prompts, is owned by TellDo and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, domain names, or other brand features.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

12. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free service.
We may perform maintenance, updates, or modifications that temporarily affect availability.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice for material changes.
For discontinued paid features, we will provide pro-rated refunds or equivalent alternatives.

13. Account Termination

13.1 By You

You can delete your account at any time through the in-app account deletion feature. Account deletion is processed within 24 hours of admin review. All your data, including audio files and backups, is permanently deleted.

13.2 By Us

We reserve the right to suspend or terminate your account if you:

Violate these Terms or any applicable law.
Engage in abusive, fraudulent, or harmful behavior.
Fail to pay applicable subscription fees.

We will provide notice before termination when possible and allow you to export your data, except in cases of severe violations.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties including, without limitation, warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the foregoing, we do not warrant that:

The Service will be uninterrupted, secure, or error-free.
AI-generated content will be accurate, complete, or reliable.
Transcriptions will be error-free.
The Service will meet your specific requirements.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, resulting from:

Your use of or inability to use the Service.
Any inaccuracy in AI-generated content, transcriptions, or reports.
Unauthorized access to your account or data.
Any third-party conduct or content.
Any interruption or cessation of the Service.

Our total liability for all claims shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

16. Indemnification

You agree to indemnify and hold harmless TellDo from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any rights of another party.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Montenegro. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Montenegro, except where prohibited by applicable consumer protection laws (in which case your local courts may have jurisdiction).

18. Dispute Resolution

Before initiating any formal legal action, you agree to first contact us at support@telldo.app and attempt to resolve the dispute informally for at least 30 days.

19. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control (natural disasters, war, government actions, internet outages, third-party service failures).

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

We will update the "Last updated" date.
We will notify you via email or in-app notification.
Continued use of the Service after the effective date constitutes acceptance.
If you disagree with the changes, you may close your account.

21. Apple-Specific Terms

If you download the application from the Apple App Store, the following additional terms apply:

These Terms are between you and TellDo, not Apple Inc.
Apple has no obligation to provide maintenance or support for the application.
In the event of a failure to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
Apple is not responsible for addressing any claims related to the application (product liability, legal compliance, intellectual property).
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
You must comply with any applicable third-party terms when using the application.
